1. Scope
These general terms and conditions apply to all contracts between TZ Digital, general partnership, Oberbottigenrain 31, 3019 Bern (“we”) and its clients (“client”) for the conception, design and development of websites and online shops and for care, maintenance and hosting services. Deviating terms of the client only apply if we agree to them in writing.
2. Quotes and conclusion of contract
Prices on the website are non-binding guide values. Only our written quote is binding. The contract is concluded when the client accepts the quote in writing (email is sufficient). Quotes are valid for 30 days.
3. Scope of services
The scope of services is defined in the quote and includes 2 rounds of revisions per project phase. Additional requests are charged at CHF 120 per hour or according to a separate quote.
4. Client cooperation
The client supplies content (texts, images, logos, access data) on time and confirms that it holds the rights to it. Delays caused by missing cooperation postpone deadlines accordingly.
5. Prices and payment
All prices are in Swiss francs (CHF) without VAT, as we are not registered for VAT. Unless agreed otherwise, 50% is due when the order is placed and 50% on completion or launch. Invoices are payable within 30 days. Care and hosting services are invoiced monthly in advance.
6. Deadlines
Deadlines are guide values unless expressly agreed as binding in writing.
7. Acceptance
The client reports defects in writing within 10 days of delivery. If no report is made or the project goes live, it is deemed accepted.
8. Warranty
We fix defects that existed at acceptance free of charge within 3 months. Issues caused by changes made by the client or third parties or by later updates of third-party software are not defects. Further warranty claims are excluded to the extent permitted by law.
9. Liability
We are only liable for intent and gross negligence. Liability for slight negligence, indirect and consequential damage is excluded to the extent permitted by law. The client is responsible for content it supplies, in particular legal texts.
10. Rights of use
After full payment the client receives an unlimited right to use the results for the agreed purpose. We may reuse general know-how, our own code components and open-source components and may name the project as a reference unless the client objects in writing.
11. Care, maintenance and hosting
Care contracts run for an indefinite period and may be terminated by either party with 30 days notice to the end of a month.
12. Confidentiality and data protection
Both parties treat confidential information confidentially. Where we process personal data on behalf of the client, we do so only on its instructions and in line with the FADP/GDPR; a data processing agreement is available on request.
13. Final provisions
Swiss law applies exclusively, excluding the CISG. Place of jurisdiction is Bern, Switzerland, subject to mandatory places of jurisdiction (e.g. for consumers).
